You acknowledge that you are solely responsible for ensuring that you have the necessary rights and permissions to upload, create, store, or use User Content through the Service.
If LearnOne becomes subject to a claim arising from your User Content, including allegations of copyright infringement or unauthorized use of protected materials, you agree to indemnify LearnOne to the fullest extent permitted by applicable law.
13.3 Cooperation
If LearnOne seeks indemnification under this section, LearnOne may:
Notify you of the claim;
Require your reasonable cooperation in responding to the claim; and
Participate in the defense of the claim at its own expense.
You agree to provide reasonable assistance, information, and cooperation in connection with such claims.
13.4 No Limitation of Other Rights
The indemnification obligations contained in this section are in addition to, and do not limit, any other legal rights or remedies available to LearnOne under these Terms or applicable law.
13.5 Survival
Your obligations under this section survive the termination of your account, your use of the Service, and these Terms to the extent necessary to resolve claims arising before or after such termination.
14Governing Law and Dispute Resolution
14.1 Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or the Service, shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.
14.2 Informal Resolution
LearnOne values resolving concerns quickly and fairly.
Before initiating legal proceedings, you agree to first contact LearnOne and make a good-faith effort to resolve any dispute informally.
Likewise, where appropriate, LearnOne will make reasonable efforts to resolve disputes with users through good-faith discussions before pursuing formal legal remedies.
To begin the informal dispute resolution process, you may contact LearnOne at:
Email: Learnonetechnologies@gmail.com
The parties agree to make reasonable efforts to resolve the dispute within 30 days after written notice is received, unless a longer period is mutually agreed.
14.3 Court Proceedings
If a dispute cannot be resolved through the informal resolution process described above, either party may pursue any legal remedy available under applicable law before a court of competent jurisdiction in Nigeria.
Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where such relief is reasonably necessary to prevent imminent harm or protect legal rights.
14.4 Time Limit for Bringing Claims
To the fullest extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be commenced within one (1) year after the claim arises or, if later, after the claimant reasonably becomes aware of the facts giving rise to the claim.
This limitation does not apply where a longer period is required by applicable law.
14.5 Continued Use During Disputes
Unless otherwise required by applicable law or ordered by a court of competent jurisdiction, the existence of a dispute does not relieve either party of its obligation to comply with these Terms while the dispute is being resolved.
